Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of the website at emsat.com and the EMSat Monitor application at app.emsat.com (together, the "Service"), provided by EMSat Pty Ltd ("EMSat", "we", "us", or "our").

By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Please also review our Privacy Policy, which describes how we collect and handle your information.

The service

EMSat Monitor is a satellite-based methane emissions monitoring platform. It ingests satellite imagery for sites you register, estimates methane emission rates, and surfaces alerts, pass history, and reporting across a multi-site dashboard.

We offer a Free plan (up to two sites, satellite monitoring, and email alerts) and a Pro plan (unlimited sites, priority processing, and CSV/PDF exports). Some capabilities advertised on our website, such as wind-corrected detection and API access, are under active development and not yet generally available — we will update this page and our product pages as they launch.

Accounts

You must create an account to use EMSat Monitor, using either email and password or Google sign-in. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate account information and to notify us promptly at info@emsat.com if you suspect unauthorised use of your account.

Subscriptions and billing

The Free plan does not require payment information. Pro plan subscriptions are billed on a recurring basis through our payment processor, Stripe, at the rate then displayed on our pricing page.

  • You authorise us to charge your payment method on file for each billing period until you cancel.
  • You may cancel your Pro subscription at any time; cancellation takes effect at the end of the current billing period, and no partial refunds are provided for unused time.
  • We may change our pricing with reasonable advance notice; changes apply from your next billing cycle onward.
  • If a payment fails and is not resolved within a reasonable period, we may downgrade your account to the Free plan.

Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation.
  • Attempt to scrape, reverse engineer, or extract the underlying software, models, or data pipelines of the Service, except as permitted by law.
  • Resell, sublicense, or provide access to the Service to third parties without our written consent.
  • Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorised access to it.
  • Submit site or facility data that you do not have the right to provide to us.

We may suspend or terminate accounts that violate this section.

Data and outputs

You retain ownership of the site, facility, and organisation data you submit to the Service ("Customer Data"). You grant us a licence to use Customer Data solely to provide and improve the Service, as described in our Privacy Policy.

Emission estimates, alerts, and reports generated by the Service ("Outputs") are licensed to you for your internal business use. Underlying satellite imagery is sourced through Google Earth Engine and remains subject to its own applicable terms.

Intellectual property

EMSat retains all right, title, and interest in and to the Service, including our software, detection models, branding, and website content. Except for the limited rights expressly granted to you in these Terms, no other rights are granted.

Disclaimer on emission estimates

Emission rates and detections produced by the Service are statistical estimates derived from satellite observations and our detection models. They are provided to help you understand and act on potential emissions, but they are not a certified or regulatory-grade measurement and should not be relied upon as the sole basis for regulatory compliance, legal, financial, or safety decisions without independent verification.

Disclaimer of warranties and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

To the maximum extent permitted by law, EMSat will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our total liability arising out of these Terms will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, or with reasonable notice for any other reason. Upon termination, your right to use the Service ends immediately; Customer Data is handled in accordance with the retention practices described in our Privacy Policy.

Governing law

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia for any dispute arising out of these Terms or the Service.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
